The St Catherine's School Council has an important role to play in the maintenance and continuation of the traditions of the School.

The responsibilities of the Council include:

• the custodianship of the Christian ethos of the School established at its foundation and developed over the years
• the financial management of the School
• planning the future development of the School
• appointing the Headmistress
• setting the policies which guide the Headmistress in the day-to-day administration of the School.

The members of the St Catherine's School Council are primarily elected by the Synod of the Anglican Diocese of Sydney or appointed by the Archbishop of Sydney who is the ex-officio President of the Council. The Dean of Sydney and the Diocesan Director of Education are also ex-officio members.

Three Clergy, six Laymen/Laywomen are elected by Synod, each for a four year term. Two Laymen/Laywomen are appointed by the Archbishop. One member is appointed by the Old Girls' Union.

The Headmistress attends meetings of the Council and the Business Manager attends at the invitation of the Headmistress. The Council meets in the School on the fourth Wednesday of the month.
